CONTEST RULES & AGREEMENT

CONTEST TITLE:
WE BEES LOVE HELLO KITTY™ SPARKLEBEE.COM

CONTEST WINNER(S):
The top twelve (12) contestants will be selected to win prizes.

CONTEST PERIOD:
The Contest begins on or about October 4, 2009 at 12:01 a.m. Pacific Standard Time (PST) and ends on or about Feburary 20, 2010 at 11:59 pm PST (“contest period”).

ELIGIBILITY:
The contest is open to legal residents of the 50 United States and the District of Columbia ages 10 and over. Employees of SparkleBee.com or any of its divisions, contractors, partners or affilliates (“Sponsors”) are not eligible.

Contestant must be a registered user on SparkleBee.com. Semi-finalists who receive the most votes via online polling will be contacted by SparkleBee.com, of these contestants management will select final winners to award (1) top prize item a 13" HELLO KITTY TV/DVD PLAYER and (1) second place will win a Hello Kitty Boombox, ten runners up to receive (1) one gift item, choosing from KT2085, KT2088, KT2076, KT4311, KT4215, KT3099, or choice of any available Hello Kitty skin for iPod, iPhone, or iPod Nano.

ENTRY:
To enter, register on SparkleBee.com and upload your photograph depicting your love and affection for Hello Kitty. All entries must be actually received by no later than the end of the Contest Period in order to participate. All requested information on the registered user form must be completed to enter and to be eligible to win. Any communication, data or other information transmitted by an entrant in connection with the Contest, is and will be treated as, non-confidential and non-proprietary. Judges reserve the right, in their sole and absolute discretion, to disqualify any entry that is inappropriate for any reason. The universe of potential entrants includes online entries and individuals contacted by sponsors who are judged on the same criteria as online entrants. Entries become the exclusive property of SparkleBee.com and MA, LLC and will not be returned. By submitting an entry, each entrant grants and hereby irrevocably assigns (and represents and warrants that it has the right to grant and irrevocably assign) to SparkleBee.com and Marino Andriani LLC, all rights, title and interest in and to the entry, data and/or other information collected, photographs and/or video footage, which shall include, without limitation, the exclusive right to reproduce, publish, exhibit, perform, display, edit, modify, adapt, use, assign, transfer, create derivative works of, distribute, sell, or otherwise exploit the entry, data, or other information collected, or any part thereof, together with any other material, in any and all media whether now or hereafter known (including, without limitation, online media), for any lawful purpose, including, without limitation, all commercial purposes, in perpetuity, throughout the universe, at no charge to SparkleBee.com and MA, LLC without compensation to the entrant.

GENERAL TERMS AND CONDITIONS:
By entering contest, you consent to the use of your name, likeness and biographical information, and all entry materials, for advertising and commercial purposes without further compensation or consent, unless prohibited by law. You release, discharge and hold harmless sponsors, and their respective affiliates, subsidiaries, and agents, and each of their respective officers, directors and employees, from any and all claims or damages, including personal injury and/or death, trademark infringement, violation of privacy/usage rights, and/or property damage, arising out of your participation in the contest and/or your acceptance and use and/or misuse of the prize awarded. Sponsor is not responsible for computer system, phone line, technical, hardware, software, program or server failures of any kind; lost or unavailable network connections; failed, incomplete, garbled or delayed computer transmissions; or lost, late, illegible, corrupted, misdirected, or incomplete entries. In the event of a dispute concerning the identity of an entrant, entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an internet access provider, internet service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Any attempt to damage any web site or undermine the legitimate operation of this contest may be a violation of criminal and civil laws and should such an attempt be made, sponsor reserves the right to disqualify entries made by any participating individual and seek damages from any such participant to the fullest extent permitted by law. Sponsor is not responsible for corrupted entries or technical or human errors or omissions of any kind relating to the submission or processing or entries. If, for any reason whatsoever, this contest, in sponsor's sole opinion, is not capable of running as planned, including, but not limited to, by reason of infection by computer virus, tampering, fraud, technical failures, or any other cause which, in the sponsor's sole judgment, corrupts of affects the administration, security, fairness, integrity or proper conduct of this contest, sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend this contest and limit entries to those submitted prior to the action taken, or proceed in such a manner as may be deemed fair and equitable by sponsor in its sole discretion. In no event will sponsor or its officers, directors, employees, representatives and agents, be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages, arising out of your access to use of the website or the downloading from and/or printing material downloaded from said site, or any other web site. Without limiting the foregoing, everything on the site is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement.

WINNER NOTIFICATION:
The winner will be selected from all eligible entries received throughout the Contest Period. The potential winner will be notified by telephone and/or mail and/or email using the contact information given at the time of entry. Sparklebee.com shall have no liability for any winner notification that is not received by the potential winner for any reason.

GENERAL RELEASE:
Acceptance as winner, constitutes winner’s permission for Promotion Entities (SparkleBee.com and MA, LLC) to use winner’s name, photograph, likeness and voice for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Each entrant agrees that SparkleBee.com, MA, LLC. shall not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the contest or in any contest-related activity. In the event of a dispute as to the identity of an entrant which cannot be resolved to SparkleBee.com's satisfaction, the entry will be deemed ineligible. Sparklebee.com reserves the right, in its sole discretion, to disqualify any individual who is found to be tampering with the entry process or the operation of the contest or the Website.

By entering the contest, each entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or connected with the contest or any prizes awarded, shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the contest, but in no event will attorneys' fees be awarded or recoverable; and (iii) under no circumstances will any entrant be permitted to obtain any award for any contest entry, and entrant hereby knowingly and expressly waives all rights to seek punitive, incidental or consequential damages and/or any other damages, other than actual out-of-pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased.

All decisions of Marino Andriani, LLC related to the contest are final and binding, without appeal.
